Anamax Industrial Inc. Sales Terms and Conditions
These Sales Terms and Conditions ("Terms") govern the sale of products by Anamax Industrial Inc. to the customer ("Buyer"). By placing an order with Anamax Industrial Inc., Buyer agrees to these Terms. Please read these Terms carefully before making a purchase.
1. Orders and Acceptance
1.1. All orders placed with Anamax Industrial Inc. are subject to acceptance by Anamax Industrial Inc. Anamax Industrial Inc. reserves the right to refuse any order in its sole discretion.
1.2. The prices listed by Anamax Industrial Inc. are exclusive shipping, and handling charges unless otherwise explicitly stated. Freight charges are NOT included in the price.
1.3. Buyer acknowledges and agrees that additional charges may apply for shipping, handling, and any special packaging or requests made by Buyer. These charges will be communicated to Buyer before shipment.
2. Price and Payment
2.1. Prices for products are as stated by Anamax Industrial Inc. in its price list or quotation. Prices are subject to change without notice, and the prices at the time of order placement shall apply.
2.2. Payment terms and methods shall be as agreed upon by Buyer and Anamax Industrial Inc. at the time of order placement. Payment must be made in the currency specified by Anamax Industrial Inc.
2.3. In the event that Buyer fails to make payment in accordance with the agreed terms, Anamax Industrial Inc. reserves the right to charge interest on the outstanding balance at a rate specified by Anamax Industrial Inc. and/or suspend or cancel the order.
3. Shipping and Delivery
3.1. Anamax Industrial Inc. will use reasonable efforts to deliver products in accordance with the agreed upon delivery schedule. However, Anamax Industrial Inc. shall not be liable for any delays in delivery.
3.2. Buyer acknowledges that freight charges are not included in the price and will be billed separately. The specific freight charges and shipping method will be determined by Anamax Industrial Inc. based on the destination and shipping requirements.
3.3. Risk of loss or damage to the products shall pass to Buyer upon delivery of the products to the carrier. It is Buyer's responsibility to inspect the products upon receipt and promptly notify Anamax Industrial Inc. of any visible damage or discrepancies.
4. Returns and Warranty
4.1. Anamax Industrial Inc.'s return policy is as specified in Anamax Industrial Inc.'s return policy document, which is available upon request.
4.2. Anamax Industrial Inc.'s warranty, if any, is as specified in the warranty documentation provided with the products. Anamax Industrial Inc. makes no other warranties, express or implied.
5. Limitation of Liability
5.1. To the maximum extent permitted by applicable law, Anamax Industrial Inc. shall not be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the sale of products.
6. Governing Law and Dispute Resolution
6.1. These Terms shall be governed by and construed in accordance with the laws of the province of Ontario Canada, without regard to its conflict of law principles.
6.2. Any disputes arising under or in connection with these Terms shall be resolved through negotiation in good faith. If negotiation fails, the parties agree to submit the dispute to mediation or binding arbitration in accordance with the rules of [Arbitration Institution].
7. Entire Agreement
7.1. These Terms constitute the entire agreement between Buyer and Anamax Industrial Inc. with respect to the sale of products and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.
By placing an order with Anamax Industrial Inc., Buyer acknowledges that they have read, understood, and agreed to these Sales Terms and Conditions. These Terms are subject to change without notice, and the version in effect at the time of order placement shall apply.
